Terms of Service

These terms are an agreement between you and Regent Media Group, LLC (“QR Sensei”, “we”, “us”), a Florida limited liability company, for your use of QR Sensei at qr-sensei.com, including our app, QR codes, Digital Business Cards, pages and related services (the “Service”). By creating an account or using the Service, you agree to these terms and to our Privacy Policy. If you use QR Sensei for a business, you agree on its behalf and confirm you can bind it.

1. Your account

• You must be at least 18 years old, or the age of majority where you live, to create an account.
• Give accurate information and keep it up to date. Keep your password safe; you’re responsible for activity on your account.
• Workspace owners and admins control their team: who is invited, their roles, and the workspace’s codes, data and billing.
• Tell us right away at [email protected] if you think your account has been accessed without permission.

2. Plans and billing

• The White Belt plan is free with the limits shown on our pricing page. Paid plans and add-ons are billed in advance, monthly or yearly, through Stripe.
• Subscriptions renew automatically at the end of each period until you cancel. You can cancel any time from Billing; your plan stays active until the end of the period you’ve paid for.
• When you change plans or add-ons, the change takes effect right away and is prorated, so you pay only the difference.
• Removing an add-on or moving to a lower plan turns the unused time into account credit that comes off your next bills. Payments are otherwise non-refundable except where the law requires, but if you think a refund is warranted, contact us and we’ll take a look.
• Prices may change. We’ll tell you at least 30 days before a price change affects your subscription, and it applies from your next renewal.
• You’re responsible for any taxes that apply to your purchase. If a payment fails, we may retry it and limit paid features until it’s resolved.

3. When a paid plan ends

If your paid plan ends or a payment can’t be collected, your codes keep working for a 30-day grace period. After that, dynamic QR codes and features that need a paid plan pause and show a “resting” page until you subscribe again. Static website codes and one Digital Business Card keep working on the free plan. We don’t delete your codes or data because a plan ended; subscribing again turns them back on right away.

4. Your content

• You own the content you put into QR Sensei, including your codes’ destinations, cards, pages, logos and files (“Your Content”).
• You give us permission to host, store, copy, display and process Your Content only as needed to run the Service, for example to redirect your codes and show your pages to the people who scan them.
• You confirm you have the rights to Your Content and that it doesn’t violate anyone’s rights or the law.

5. Leads and visitor information

When you collect information from people through your cards and pages (such as leads), you are responsible for collecting and using it lawfully, including giving any notices and getting any consents the law requires, and for honoring their requests. We process that information on your behalf as described in our Privacy Policy. If you connect HubSpot or another integration, you authorize us to send that information to it.

6. Acceptable use

You may not use QR Sensei to:

• send people to phishing, malware, scams or other deceptive or harmful content;
• break the law, or promote illegal activity, violence or hate;
• infringe intellectual property or privacy rights, or impersonate others;
• send spam or unsolicited messages;
• publish sexually explicit content involving minors, or any content that exploits children;
• interfere with or overload the Service, get around its limits or security, or access other customers’ data; or
• resell the Service without our written permission.

We may remove content, pause codes or suspend accounts that break these rules or put people at risk, and we may do so without notice when needed to prevent harm. Where we can, we’ll tell you why and give you a chance to fix it.

7. Custom domains and integrations

• If you connect a custom domain, you must own or control it and keep its DNS settings pointed at QR Sensei for your codes on it to work.
• Third-party services you connect, such as HubSpot or Stripe, are governed by their own terms. We aren’t responsible for them.

8. Our service

• We work to keep QR Sensei available and your printed codes working, but the Service is provided without a guaranteed uptime commitment and may occasionally be interrupted for maintenance or reasons outside our control.
• We may improve, change or retire features. If we remove something significant that you pay for, we’ll give you reasonable notice.
• QR Sensei, its software, designs, logos and brand belong to Regent Media Group, LLC. These terms don’t give you rights to them except to use the Service.
• If you send us feedback or ideas, we may use them without owing you anything.

9. Ending your account

You can stop using QR Sensei and ask us to delete your account at any time. We may suspend or end accounts that seriously or repeatedly break these terms or that we must close by law. When an account is deleted, its codes stop working and its data is deleted as described in our Privacy Policy, so download anything you need first. Sections that by their nature should continue (such as ownership, disclaimers, liability limits and governing law) continue after your account ends.

10. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don’t promise that the Service will be uninterrupted or error-free, or that scan analytics (such as locations and unique visitors, which are estimates) will be exact.

11. Limitation of liability

To the fullest extent the law allows, QR Sensei and Regent Media Group, LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose, or $100 if you haven’t paid us.

12. Indemnity

You agree to defend and indemnify QR Sensei and Regent Media Group, LLC against claims, losses and costs (including reasonable attorneys’ fees) arising from Your Content, your use of the Service, information you collect from others, or your breach of these terms or the law.

13. Governing law and disputes

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute arising from these terms or the Service will be brought exclusively in the state or federal courts located in Duval County, Florida, and you and we consent to their jurisdiction. Before filing a claim, please contact us so we can try to resolve it informally.

14. Changes to these terms

We may update these terms. If a change is significant, we’ll let you know by email or in the app at least 30 days before it takes effect. Continuing to use the Service after that means you accept the updated terms.

15. General

These terms and our Privacy Policy are the whole agreement between you and us about the Service. If any part is found unenforceable, the rest stays in effect. Our not enforcing a right isn’t a waiver of it. You may not transfer these terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets.
